CFM56-72010 Component Repair Directory 01 Jan 2010 © Snecma | All rights reserved Standard terms & conditions of sale 1.0 Introduction These Standard Terms and Conditions of Sale of Engine Part/Component Repair Services of SNECMA SA (hereinafter called "SNECMA"), together with any terms and conditions, set forth in SNECMA' signed proposal ("Proposal") submitted to the customer identified in the Proposal ("Customer") and with the approved workscope shall be the only terms and conditions applicable to the provision by SNECMA of Services (as hereafter defined) for the repair (performed in accordance with OEM Engine Shop Manual or SNECMA Maintenance Manual), overhaul or servicing of the Engine part or component of Customer's aircraft engines, engine modules, engine module units, assemblies, subassemblies, controls and accessories, and the parts incorporated in any of those items thereof described in such Proposal (individually or collectively, as the case may be, the "Equipment"). The term "Service(s)" means the services which SNECMA agrees to perform as described in the Proposal and in the approved workscope (whether or not contained in the Proposal), including all labor and materials used by SNECMA in the performance thereof. These terms and conditions (“STCS”), together with the signed and accepted Proposal and with the approved workscope, shall be considered as the agreement between the parties and shall be in lieu of any and all terms and conditions of any purchase order or other document submitted by Customer except as specifically stated hereinafter. Pricing contained in these STCS are the prices available on the SNECMA Website, www.snecma.com, update regularly. SNECMA reserves the right to adjust pricing throughout the year for any business need including but not limited to correcting any pricing error that is identified following issuance of this these STCS. 2.0 Definitions Accessories: Fixed price including labour and material with exceptions (FOD, misused, fuel contamination, mishandling, major part bodies) AD or Airworthiness Directive shall mean a document issued by the Competent Aviation Authority having jurisdiction over the Equipment, identifying an unsafe condition relating to such Equipment and, as appropriate, prescribing inspections and the conditions and limitations, if any, under which the Equipment may continue to operate. Cleaning and Inspection costs and TAT are not included for the CRD dedicated to customer with Snecma Engine Overaul Contract but shall be added for CRD dedicated for isolated parts and accessories Business, packages or repairs. If part fails inspection, clean and serviceability fees apply. Any additional factory testing, inspection and packaging requirements of Customer shall be paid for by Customer. CLP or Catalog list Price shall mean the OEM’s current catalog or the OEM’s current list price pertaining to a new part or new item of Equipment. The term “current” as used in this definition means as of the time of providing such part or item during the applicable Service. Designated Repair Facility shall mean one or more of the repair facilities owned by SNECMA or its affiliates, which are certified by the Competent Aviation Authority to perform the applicable Service hereunder. A list of repair facilities currently owned or operated by SNECMA or its affiliates is set forth in Article 15 hereunder. The Services on the Equipment shall be performed at the repair facility designated in Customer’s Purchase Order as agreed by SNECMA. However, SNECMA has the right to change the Designated Repair Facility and to subcontract any Services to any other SNECMA repair facility, SNECMA-affiliated facility, or to any subcontractor selected by SNECMA, as long as such repair facility, SNECMA affiliated facility or subcontractor is certified and rated by the Competent Aviation Authority to perform the required Services on the Equipment. Material listed at CLP is sometimes requested by the ESM repair. This cost shall be added excepted if specified otherwise at CRD repair description. SB or Service Bulletin shall mean the document issued by an OEM to notify the engine’s operator of modifications, substitution of parts, special inspections, special checks, amendment of existing life limits or establishment of first-time life limits, or conversion of Equipment from one model to another. Turnaround Time (TAT) means the number of calendar days, between Delivery and Redelivery, required to complete repairs, exclusive of public holidays observed by the Designated Repair Facility, Excusable Delays, and any delays due to acts of Customer or failure to act by Customer. - The Turn Around Time shall begin the day SNECMA acknowledges receipt of the Equipment to be repaired in the Designated Repair Facility as evidenced by the date shown on the shipping documents or; from the date of acceptance by the Customer of SNECMA 's quotation as proven on the purchase order, whichever is the latest. - The Turn Around Time terminates the day of the notice advising the Customer that the component is ready for shipment or; when the component leaves the Designated Repair Facility to be returned to the Customer as evidenced by the date shown on the shipping documents, whichever occurs first, provided the notice of the Customer acceptation of the quotation and all necessary information for SNECMA to perform the repairs have been received by SNECMA on due time. To this effect the Customer shall provide with its purchase order or at SNECMA's request all relevant information to enable SNECMA to perform the Services. In case of disregard of the Customer’s obligations, TAT shall be modified accordingly. When all information is available to SNECMA and if the TAT has been exceeded by more than 50%, SNECMA shall consider providing standard exchange for the Equipment for which the Services was to be performed, which Equipment shall become the property of SNECMA. The price to be paid by the Customer shall be the price of Service of the initial Equipment. 3.0 General Procedure A. Following Delivery (as defined below) of the Equipment to SNECMA´ Designated Repair Facility, together with (1) a repair/purchase order from Customer authorizing such Service, (2) an approved workscope if any, and (3) all applicable Equipment records, SNECMA shall induct the Equipment and proceed with the Service described in the Proposal. SNECMA shall perform a standard receiving inspection of the Equipment and shall submit a workscope to Customer for approval, if not already defined in the Proposal. If Customer decides not to proceed with the Service, Customer shall immediately notify SNECMA in writing of its decision not to proceed and shall pay to SNECMA all costs and labor charges incurred in connection with the inspection of the Equipment, including, without limitation, preparation of inspection report(s), loose assembly and packing of the Equipment for return shipment. B. Following disassembly and/or inspection of the Equipment, SNECMA shall provide Customer with an estimate of the Redelivery (as defined below) date. C. Should SNECMA discover some additional work to be performed after approval of workscope by Customer, SNECMA shall so notify Customer and perform such additional work, which shall be embodied in the Services, at Customer expense unless Customer notifies SNECMA in writing within five (5) days of receiving such notification that Customer does not want such additional work to be performed. D Service shall be in accordance with SNECMA´ standard commercial quality control policies, procedures and practices. SNECMA shall determine which parts are required to repair the Equipment. These parts shall be charged to Customer under the terms and conditions set forth in Article 4 “Price” – “Mark up” below, unless specified in the SNECMA directory that the Services includes the primary parts. E. Serviced Equipment shall be prepared and packed in accordance with SNECMA' normal commercial practice unless otherwise specified in the Proposal. SNECMA agrees to comply with all reasonable written instructions of Customer as to markings to be placed on bills of lading, packing lists, correspondence and shipping containers. F. In connection with the Services provided on the Equipment, SNECMA shall provide Customer with copies of all work records required by the European Aviation Safety Agency ("EASA"), or, if applicable, the Federal Aviation Administration of the United States ("FAA"), or such other foreign equivalent aviation authority as agreed to in writing by SNECMA and Customer (each, a "Competent Aviation Authority"), including any required repair facility component/accessory tags. 4.0 Price All prices are shown in United States Dollars. They are valid until the next update of the prices. The Services described in this directory are only payable in U.S.$. Prices shall be as quoted by SNECMA to Customer in the Proposal or, if not, set forth in the Proposal, as published in SNECMA´ or other original equipment manufacturer's ("OEM") directories in effect at the time the item is allocated to, or incorporated in, Customer´s Equipment. SNECMA´ directories or other OEM directories are published once a year at least and is subject to evolution during a year, including without limitation creation of new repairs; such evolution shall be applicable immediately even if not published in the current SNECMA’ directories. © Snecma | All rights reserved 1/18 MATERIAL MARK UP Mark up on primary parts replacement will be 10 % over Original Engine Manufacturer (“O.E.M.”) directory price. Exchange fee is 7 % of the O.E.M. directory price on the part to be replaced if rotable parts are available. Transfer of title is effective after payment of the corresponding invoices. Serviceable parts will be supplied at 85 % of the directory price unless otherwise agreed by the Parties. CUSTOMER DEROGATION REQUEST (“CDR”) Customer will be charged for any Customer's Derogation Request on a part a management fee equivalent to 2% of the OEM directory price of said part, such fee being not less than $ 200. This management fee does not include labor and part. The referring prices applied in the quotations are the prices available in the SNECMA web site www.snecma.com updated regularly 5.0 Delivery, Redelivery, Title and Governmental Authorization A. Customer's Equipment shall be Delivered Duty Paid ("DDP") to SNECMA' Designated Repair Facility pursuant to International Chamber of Commerce "Incoterms" (2000 Edition) ("Delivery"). SNECMA shall redeliver the Equipment to Customer, Ex Works, in SNECMA' Designated Repair Facility pursuant to "Incoterms" (2000 Edition) ("Redelivery"). Incoterms : - including transport packaging required for the return of the repaired component to the Customer (packaging shall be in accordance with SNECMA normal commercial practice). It excludes specific packaging or shuttle ones that would not insure proper protection during the return shipment. - including SNECMA usual tests and inspections unless otherwise specified in the directory. - not including any transportation and charges related to transportation. - not including the price of the parts, if required for the repair, unless otherwise specified in writing by SNECMA. Parts needed to perform the repairs shall be furnished by SNECMA and deemed to have been sold to the Customer, the replaced primary part to be scrapped by SNECMA. The transfer of title shall take place at the same time as the transfer of risk. These Incoterms are valid insofar no contrary quotation or notice shall have been made by SNECMA after receipt of the Equipment to be repaired. B. Title to SNECMA furnished parts, material and associated labor shall pass to Customer upon the first to occur of incorporation in the Equipment, and simultaneously, title to parts removed from the Equipment shall pass to SNECMA. Without further act or obligation on the part of the Customer, SNECMA shall dispose of all scrapped or condemned parts removed from the Equipment. C. If Equipment cannot be Redelivered when ready due to any cause referred to in Article 8 "Excusable Delay", below, SNECMA may place such Equipment into storage. In such event, SNECMA shall notify Customer of such storage, SNECMA' Redelivery obligations shall be deemed fulfilled and all risk of loss or damage to the Equipment shall pass to Customer on the date of such storage. Any amounts otherwise payable to SNECMA upon Redelivery shall be payable upon presentation of SNECMA' invoice. Promptly upon submission of SNECMA' invoice, Customer shall reimburse SNECMA for all expenses incurred by SNECMA, including, but not limited to, preparation for and placement into storage, handling, inspections, preservation and insurance of the Equipment. Upon payment to SNECMA of all amounts due hereunder, SNECMA shall assist and cooperate with Customer in the removal of any Equipment which has been placed in storage. D. Customer shall be the importer or exporter of record of the Equipment and, unless otherwise specifically agreed to in writing by the parties, Customer shall be responsible for obtaining import licenses, export licenses, exchange permits and any other required governmental authorizations. At Customer's request and expense, SNECMA will assist Customer in obtaining any required approval but shall not be liable if any authorization is delayed, denied, revoked, restricted or not renewed, and Customer shall not be relieved of its obligation to pay SNECMA for Services and any other charges which are the obligation of the Customer hereunder. All items (including technical data) delivered hereunder shall at all times be subject to (i) the U.S. Export Administration Regulations and/ or the International Traffic in Arms Regulations and (ii) the French Export Administration Regulations and applicable customs regulations of France and (iii) any other foreign government export control regulations.. Customer agrees not to dispose of U.S. or French origin items (including technical data) provided by SNECMA under these STCS other than in and to the country of ultimate destination specified in Customer's purchase order, approved government license(s) or authorization(s), except as said laws and regulations may permit. 6.0 Invoices and Payment A. SNECMA shall provide Customer with a budgetary estimate of the costs to perform Services and shall issue a preliminary invoice to be paid by Customer before Redelivery of the Equipment. Any quotation or cost estimate is provided and accepted by Customer only as a budgetary estimate, solely for the purpose of guidance and not for reliance. SNECMA shall issue a final invoice for Services as soon as practicable after completion of the Services. The final invoice shall reflect the total charges owed by Customer and credits due Customer and shall reflect any additional charges or credits to the preliminary invoice incurred (if any), based on actual charges to complete the Services. Such invoice shall be reconciled with any preliminary invoice. Unless otherwise stated in the Proposal, the unpaid balance of any preliminary invoice for Services shall be payable in full prior to Redelivery of the Equipment. Customer shall pay the final invoice at receipt. If any payment date falls on a day that is not a business day, the payment that is otherwise due shall instead be due the next business day. Timely payment by Customer shall be of the essence of these STCS and SNECMA reserves the right to require different terms of payment or other assurances of payment in the event Customer fails to make timely payments such as an advance payment of 100% of the estimated amount of the works and parts. The remainder at receipt of invoice. The invoice will be deemed to be received no later than seven (7) days from date of issue. B. Customer shall make all payments under these STCS in United States Dollars via wire transfer to the bank account designated on the Proposal. Such payment shall be immediately available for use and without any right to withhold or to make any deduction whatsoever unless accepted by SNECMA or affirmed by the competent court as per article 13, Paragraph A. C. SNECMA shall have the right, in addition to all other rights and remedies afforded to it under these STCS or by law, to suspend performance of its obligations under these STCS should Customer default in the performance of its obligations under this article, and to charge Customer for the corresponding costs associated with the work stoppage. D. If Customer is in default of any payment obligation, SNECMA is without reminder and prejudice to any other rights entitled to charge interest at Libor 3 month plus 4% for any outstanding sum, beginning with any due date of payment. E. Customer hereby grants to SNECMA a security interest in any property owned by Customer (including Customer´s beneficial rights to property leased by Customer) in the possession of SNECMA or any of SNECMA´ affiliates, at any time, to secure all amounts owed by Customer to SNECMA under these STCS. F. For each final invoice, Customer will be charged at least a lumpsum of 150$ regardless of the repair price. 7.0 Taxes A. Any taxes of any nature levied exclusively in connection with transactions hereunder, whether levied against Customer or Snecma, shall be borne, and to the extent permitted by law, paid directly by the Customer to the relevant authority. If Snecma is required by law or otherwise to pay any such taxes, including any related penalties and interest, the amount of the payment so made by Snecma shall be reimbursed by Customer to Snecma upon submission of Snecma’s invoices. Customer will use all reasonable effort to obtain a refund thereof. If all or any part of any taxes be refund to Snecma, Snecma will repay Customer such part thereof as Customer will have paid or reimbursed to Snecma. B. Withholding - All payments to be made by Customer to Snecma under this agreement shall be free of all withholding of any nature whatsoever except to the extent otherwise required by law; and if any such withholding is so required, Customer will: - Promptly notify Snecma; and - Forthwith pay to Snecma such additional amount necessary to ensure that, after the making of such deduction or withholding, Snecma receives and retains a net amount equal to the full amount which it would have received had no such deduction or withholding been made or required to be made; and; - Pay the full amount required to be deducted or withheld to the relevant taxation authority within the time allowed for such payment under applicable law; and - Provide Snecma, in the same time of the payment, with a certificate of deduction of tax at source. If the aforesaid mechanism contravenes the law of [COUNTRY], the Parties shall amend this Agreement in order to increase the respective prices and mount envisioned by this Agreement so that the initial prices and amounts are preserved. C. Value Added and similar taxes - Transactions contemplated between Snecma and Customer under this agreement will be governed by European Community regulation in force (to date, Council directive 2006/112/EC). Should value added tax or similar tax be applicable to the contemplated transaction, Snecma will be entitled to invoice Customer such tax in addition to the price hereto, unless Customer provides Snecma with adequate exemption. © Snecma | All rights reserved 2/18 D. Assistance - It is expressively agreed between the Parties that Customer will do its best effort to assist Snecma in the following situations: - Obligation for Snecma to provide any public authorities within the jurisdiction of the Customer with any return of administrative, legal or fiscal nature; - Dispute with any public authorities within the jurisdiction of Customer relative to matters of fiscal or customs nature with respect to this agreement or the performance of this agreement on. 8.0 Excusable Delay SNECMA shall be excused from, and not be liable for, any delay in its performance or failure to perform due to causes beyond SNECMA´ reasonable control, including, without limitation, acts of God, war, warlike conditions, inability to secure parts, material or transportation, insurrection, riot, explosions, fires, government acts or failure to act, government priorities, acts or failure to act of civil or military authorities, labor disputes, strikes or Customer´s acts (or failure to act) as required under the terms of these STCS. In the event of such delay, SNECMA shall have the right to invoice Customer for all completed Service, and Customer shall pay such invoice net thirty (30) days. Should Customer's action or inaction (such as, without limitation, delay in providing Customer owned property, Equipment records, approval or other information), cause a delay, Customer's Equipment may be removed from production, which may result in greater than day-for-day delay. If delay resulting from any of the foregoing extends for more than six (6) months and the parties have not agreed upon a revised basis for continuing the Service, including an adjustment of the price, then upon thirty (30) days written notice to the other, either party may terminate their performance in respect to the Service delayed. In the event of such a termination Customer shall pay SNECMA' termination charges upon receipt of SNECMA' invoice(s) therefore. 9.0 Warranty A. SNECMA warrants to Customer that, at the time of Redelivery, the work performed under these STCS will be free from defects in workmanship for a period of one thousand (1000) running hours after repair or six (6) months after installation or one year from date of end of repair, whichever shall first occur. Customer shall send SNECMA written notice of a defect prior to the expiration of thirty (30) days following discovery thereof. If SNECMA reasonably determines that the work performed does not meet the warranty specified above, SNECMA shall promptly correct the defect by, at SNECMA´ option, (1) repairing the defective work, (2) making available at the Designated Repair Facility a repaired or replacement item, or (3) refunding the repair price allocable to the defective work. The warranty period on any such repaired or replaced item shall be the unexpired portion of the warranty on the initially repaired item. If requested by SNECMA, Customer shall ship such defective item, freight prepaid, to the location specified by SNECMA. If SNECMA determines that a repair is covered by this warranty, SNECMA shall reimburse Customer for its reasonable freight charges in connection with the transportation of such item to SNECMA. B. THE FOREGOING WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, WHETHER WRITTEN, ORAL, EXPRESSED, IMPLIED OR STATUTORY (including, without limitation, any warranty of merchantability and fitness for particular purpose). This warranty is not assignable without the written consent of SNECMA. This warranty is applicable only if: the Equipment, following Redelivery, (1) has been transported, stored, installed, operated, handled, maintained and repaired in accordance with the then-current recommendations of the Equipment manufacturer as stated in its manuals, Airworthiness Directives, Service Bulletins or other written instructions; (2) has not been altered, modified or repaired by anyone other than SNECMA; and (3) has not been subjected to accident, misuse, abuse or neglect. C. The liability of SNECMA connected with or resulting from the foregoing warranty shall not exceed in any case the cost of correcting the defect as provided in paragraph A above. Upon the expiration of the shortest period described in paragraph A above, all such liability shall terminate. The foregoing shall constitute the sole remedy of Customer and the sole liability of SNECMA for breach of warranty. 10.0 Limitation of Liability A. The total liability of SNECMA for any and all claims, whether in contract, warranty, tort (including negligence but excluding wilful misconduct or recklessness), product liability, patent infringement, or otherwise, for any damage arising out of, connected with, or resulting from the performance or non-performance of any Service provided hereunder or from the manufacture, sale, Redelivery, resale, repair, overhaul, replacement or use of the Equipment or any item or part thereof, shall not exceed the price allocable to the repaired or overhauled item, part or Service which gives rise to the claim. Consequently, Customer and its insurers waive any recourse against SNECMA for any loss or damage beyond that limit. B. Customer shall defend, indemnify and hold harmless SNECMA for and against any and all losses, claims, suits, judgements, costs and expenses, including but not limited to reasonable attorney fees and all associated costs therewith, which may be incurred by, charge to, recoverable from or which may accrue against SNECMA by virtue of a claim by a third party for injury or death to person or damage to property as a result of the negligent performance or non performance by SNECMA of its obligations under these STCS, except to the extent that that such injury, death or damage is determined to be due solely and directly to SNECMA´ recklessness or willful misconduct. C. In no event, whether as a result of breach of contract, warranty, tort (including negligence but excluding willful misconduct or recklessness), product liability, patent infringement, or otherwise, shall SNECMA be liable for any indirect damages (for avoidance of doubts indirect damages shall cover any similar types of damages such as but not limited to, special, consequential, incidental, resultant, punitive or exemplary damages, including, without limitation, loss of use, revenue, image, profit or goodwill). D. For the purpose of this Article 10, the term "SNECMA" is deemed to include SNECMA and its affiliated companies, the subcontractors and suppliers of the Services furnished hereunder, and the directors, officers, employees, servants and representatives of each. 11.0 Information A. Unless otherwise specifically agreed upon in a proprietary information agreement signed by the parties, any knowledge or information which Customer has disclosed or may hereafter disclose to SNECMA, incident to the Service or Equipment, shall not be deemed to be confidential or proprietary information, and, accordingly, shall be acquired free from any restriction on use or disclosure. B. The existence of these STCS and their general purpose may be stated to others by either of the parties without approval from the other except that the terms of these STCS and any knowledge or information which SNECMA may disclose to Customer with respect to pricing, design, manufacture, sale, use, repair, overhaul or Service of Equipment shall be deemed to be proprietary information and shall be held in confidence by Customer. Such information shall not be reproduced, used or disclosed to others by Customer without SNECMA' prior written consent, except to the extent required by government agencies or courts for official purposes. Disclosure to such government agencies or courts shall be made only (1) upon thirty (30) days advance written notice to SNECMA of such disclosure so as to provide SNECMA the ability to obtain appropriate protective orders and (2) with a suitable restrictive legend limiting further disclosure. C. The preceding paragraph B shall not apply to information which (1) is or becomes part of the general public knowledge or literature otherwise than as a result of breach of Customer's obligations hereunder, or (2) was, as shown by written records, known to Customer prior to receipt from SNECMA, or (3) is disclosed without restriction to Customer by a third party having the right to do so. D. Nothing contained in these STCS shall convey to either party the right to use the trademarks of the other, or convey or grant to Customer any license under any patent owned or licensed by SNECMA. 12.0 Termination Either party may terminate these STCS upon thirty (30) days written notice to the other for failure to comply with any material provision of these STCS unless the failure shall have been cured, or the party in breach has substantially affected all acts required to cure the failure, prior to such thirty (30) days. SNECMA may immediately terminate these STCS if Customer (1) fails to make any of the required payments when due, unless cured within ten (10) days of such payment due date, (2) makes any agreement with creditors due to its inability to make timely payments of its debts, (3) enters into liquidation whether compulsory or voluntary, (4) becomes insolvent, or (5) becomes subject to the appointment of a receiver of all or a material part of its assets. If such termination should occur, Customer shall not be relieved of its payment obligation for Services rendered hereunder. 13.0 Dispute Resolution A. Arbitration Procedure. All disputes arising out of or in connection with these STCS, may be exclusively referred by any party that is involved in the dispute, and to the exclusion of any competent court, to binding arbitration and, if so referred, shall be fully and finally resolved under the Rules of Conciliation and Arbitration of the International Chamber of Commerce (the "Rules") by one or more arbitrators appointed in accordance with said rules. The place of arbitration shall be Paris, France. The arbitration shall be in English and the opinion shall be rendered in French. The arbitration award may be presented and enforced by any party in any court of competent jurisdiction. Notwithstanding the foregoing, SNECMA may at any time seek from a court of competent jurisdiction any relief to avoid irreparable damage occurring in the event obligation set forth in article 6 here above was not performed in accordance with the terms hereof. © Snecma | All rights reserved 3/18 B. Exclusivity, Confidentiality. Each of the parties intends that the dispute resolution process set forth in this Article shall be the parties´ exclusive remedy for any dispute. All statements made in connection with the dispute resolution process set forth in this Article shall not be disclosed to any third party except as required by law or subpoena. C. Exception. Any party may at any time, without inconsistency with this Article, seek from a court of competent jurisdiction any equitable, interim, or provisional relief to avoid irreparable harm or injury. D. Applicable Law. These STCS are construed and governed in all aspects by the laws of France. 14.0 General Provisions A. Right to Subcontract. SNECMA shall have the right to have any of the Services performed at any SNECMA facility or any facility of SNECMA' affiliates, or any subcontractor selected by SNECMA or such affiliates, provided such facility, affiliate or subcontractor is properly certified and rated by the Competent Airworthiness Authority to perform such work. SNECMA´ use of affiliates or subcontractors shall not relieve SNECMA from the responsibility for the proper performance of its obligations set forth in these STCS. B. Assignment. Except as described in paragraph A above, the assignment of all or any portion of these STCS, or any purchase order or any right or obligation hereunder, by either party, without the prior written consent of the other party shall be void. Notwithstanding the foregoing, the Customer's consent shall not be required for the substitution of a SNECMA affiliate in place of SNECMA as the contracting party or the recipient of payments pertaining to all or any portion of these STCS or any purchase order or any right or obligation in connection with these STCS. In the event of any such substitution, Customer shall be so advised in writing, although failure to so advise shall not be cause for termination hereunder. C. Waiver of Immunity. To the extent that Customer or any of its property becomes entitled at any time to any immunity on the grounds of sovereignty or otherwise from any legal action, Customer hereby irrevocably waives the application of such immunity insofar as such immunity relates to Customer's rights and obligations in connection with these STCS. D. Partial Invalidity : If any provision of these STCS shall be held to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby. E. Beneficiaries. Except as herein expressly provided to the contrary, the provisions of these STCS are for the benefit of the parties hereto and not for the benefit of any third party. F. Language, Notices. All correspondence and documentation arising out of or connected with these STCS and any related purchase order(s), including but not limited to Equipment records and logs, shall be in the English language. Any notices furnished under these STCS: (1) shall be in writing, (2) shall become effective upon receipt, and (3) shall be delivered or sent by mail or electronic transmission to the address set forth on the Proposal, which may be change by written notice to the other party. G. Non-Waiver. Any failure by either party to enforce any of the provisions of these STCS or to require at any time performance by the other party of any of the provisions hereof shall in no way affect the validity of these STCS or any part hereof, or in the right of the parties thereafter to enforce each and every such provision; nor shall the parties actual performance, whether or not under these STCS, be deemed in any way indicative of the scope of the obligations of the parties under these STCS. H. Titles/Subtitles. The titles and subtitles given to the sections of these STCS are for convenience only and shall not be deemed to limit or restrict the context of the article or section to which they relate. I. Entire Agreement. These STCS contain and constitute the entire and only agreement between the Parties hereto respecting the subject matter hereof, and supersedes and cancels all previous negotiations, agreements, proposals, statements, course of dealing or usage of trade, commitments and writings in connection therewith. These STCS may not be released, discharged, abandoned, supplemented, changed or modified in any manner, orally or otherwise, except by an instrument in writing of concurrent or subsequent date signed by a duly authorized representative of each of the parties hereto. J. Counterparts: These STCS may be executed by the parties in separate counterparts, each of which shall be deemed to be an original and all of which, when taken together, shall constitute one and the same document.
